1. Introduction
These Terms and Conditions and Cancellation Policy govern memberships, class attendance, private sessions, events, retail purchases, and related services provided by Entropy Jiu Jitsu LLC ("Entropy," "we," "our," or "us") to members, students, parents, guardians, guests, and visitors ("Member," "you," or "your").
By registering for any Entropy service, purchasing a membership, attending classes, signing a waiver, or otherwise using our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
Nothing in this document is intended to remove or limit any mandatory consumer rights that cannot lawfully be excluded under applicable laws of the United Arab Emirates and the Emirate of Dubai.
2. Eligibility
Membership may be purchased by individuals aged 18 years or above, or by a parent or legal guardian on behalf of a minor.
For minor members, the registering parent or legal guardian confirms that they are duly authorized to contract on the minor's behalf and to provide the necessary consents, declarations, and emergency details.
3. Membership Services
Entropy may offer group memberships, private training sessions, kids' programs, ladies' classes, seminars, events, trial packages, retail merchandise, and ancillary food and beverage offerings.
Membership types, access rights, schedules, included benefits, and pricing shall be as described at the time of purchase, renewal, or written offer.
4. Pricing, Billing, and Payment
All fees shall be disclosed before purchase. Unless expressly stated otherwise in writing, membership fees, package fees, event fees, and retail charges are payable in advance.
Where applicable, value added tax (VAT) shall be charged in accordance with UAE law.
By enrolling in a recurring payment plan, the Member authorises Entropy to charge the agreed recurring fees on the scheduled due dates until the membership expires or is validly terminated in accordance with this policy.
Failed, reversed, or rejected payments may result in suspension of booking or attendance rights until all outstanding amounts are settled.
5. Term, Renewal, and Freeze
Membership remains valid for the selected term purchased by the Member.
Fixed-term memberships expire automatically at the end of their term unless renewed.
Where auto-renewing plans are offered, the renewal structure and payment cycle shall be disclosed at sign-up.
Entropy may, at its discretion and subject to internal rules, allow a temporary membership freeze for travel, medical, or other exceptional reasons. A freeze is a discretionary accommodation unless a mandatory legal right applies.
6. Timetable, Facility Operations, and Coaching Changes
Class schedules, instructors, class formats, and academy operations may change from time to time for operational, safety, staffing, facility, or event-related reasons.
Entropy does not guarantee that any specific coach, professor, or instructor will remain assigned to any given class indefinitely.
Reasonable schedule or staffing changes do not automatically entitle a Member to a refund, except where applicable law requires otherwise or Entropy expressly approves an accommodation under this policy.
7. Member Conduct and Safety
Members must follow all coaching, safety, hygiene, conduct, and facility rules issued by Entropy from time to time.
- treat staff, coaches, and other members with respect;
- wear appropriate training attire and equipment;
- avoid dangerous, abusive, discriminatory, threatening, or disruptive conduct;
- promptly disclose any relevant injury, health restriction, or medical concern affecting safe participation.
Entropy may refuse entry, suspend attendance, or terminate membership for serious misconduct, safety breaches, repeated rule violations, or non-payment, subject to applicable law.
8. Health and Fitness Acknowledgment
Martial arts and fitness training involve physical exertion, physical contact, and an inherent risk of injury. By participating, the Member confirms that he, she, or the relevant minor member is physically able to train or has obtained appropriate medical guidance before participating.
Entropy may require reasonable medical clearance before permitting participation or return to training where a health or safety concern arises.
9. Cancellation and Refund Policy
Memberships are sold based on the selected term, access level, and pricing model. Except where required by applicable law or expressly approved by Entropy in writing, fees paid are non-refundable and memberships are non-cancelable once activated.
A Member may apply for early cancellation and a possible refund only on the limited documentary grounds set out in Clause 10 below.
10. Limited Grounds for Early Cancellation Request
Early cancellation may be requested only on one of the following grounds:
- Complete relocation: permanent relocation to another city or another country such that continued attendance at Entropy is no longer reasonably possible.
- Medical inability to train: a medical condition or injury that renders the Member medically unfit to participate in sports, contact sports, or martial arts training.
- Loss of employment: involuntary loss of employment materially affecting the Member's ability to continue the membership.
11. Supporting Documents
All cancellation requests must be submitted in writing together with supporting documents sufficient to verify the ground relied upon.
For complete relocation, Entropy may request one or more reasonable forms of proof, including a new tenancy agreement, visa cancellation or transfer documentation, employer transfer letter, utility or official address evidence, school transfer confirmation for a child member, or equivalent official documentation showing permanent relocation.
For medical inability to train, the Member must provide a medical report or certificate issued by a UAE-licensed healthcare provider and, where applicable, attested or verifiable through the relevant UAE health authority. Entropy may reject documents that do not clearly state that the Member is medically unfit to participate in sports, contact sports, or martial arts for a relevant period.
For loss of employment, Entropy may require reasonable proof such as an employer termination letter, labour or visa cancellation documentation, Ministry of Human Resources and Emiratisation documentation, or other official evidence reasonably demonstrating involuntary job loss.
12. Review, Approval, and Effective Date of Cancellation
All cancellation and refund requests are subject to document review and written approval by Entropy. Submission of a request does not automatically suspend payment obligations unless and until the request is approved in writing.
Entropy may request additional supporting documents where reasonably necessary to verify the request.
False, incomplete, misleading, altered, or unverifiable documents may result in rejection of the request.
13. Refund Basis if Approved
If Entropy approves an early cancellation request under this policy, the membership shall end on the approved cancellation date.
Any refund, if granted, shall be calculated on a pro-rata basis for the unused portion of the membership term only, after deducting any value already received by the Member.
Entropy may deduct, where applicable and where clearly disclosed or reasonably attributable:
- membership time already elapsed or used up to the approved cancellation date;
- private sessions already delivered or reserved;
- joining fees, registration fees, uniforms, merchandise, gifts, or promotional items already redeemed;
- any discounts or promotional pricing that were conditional on completion of a minimum commitment, in which case the used period may be recalculated at the standard non-discounted rate;
- payment processor or bank reversal costs actually incurred, to the extent legally permissible.
No refund shall be due for classes already attended, elapsed membership time already used, completed events, redeemed benefits, missed classes due to personal scheduling, or retail / food and beverage purchases.
14. No Refund in Other Cases
Without prejudice to any non-waivable legal rights, refunds are not ordinarily granted for change of mind, temporary schedule conflicts, dissatisfaction with timetable preference, change of preferred coach or class format, travel plans, non-use of membership, or disciplinary suspension or expulsion arising from the Member's own misconduct.
15. Private Sessions, Events, and Short Packages
Private sessions must be rescheduled or canceled within the notice period published by Entropy from time to time.
Late cancellations or no-shows may be charged in full or deducted from the applicable package.
Seminars, events, and competition-related bookings may be subject to separate event-specific terms disclosed at the time of booking.
16. Retail, Uniforms, and Promotional Items
Retail goods, uniforms, and promotional items may be exchanged or returned only in accordance with applicable UAE consumer law and Entropy's prevailing store rules, provided the items are unused and supported by proof of purchase where required.
Statutory rights relating to defective or misdescribed goods remain unaffected.
17. Electronic Acceptance and Records
Registrations, waivers, booking confirmations, invoices, and approvals may be completed electronically. Electronic acceptance, electronic records, and electronic signatures shall, where applicable, be recognized in accordance with UAE laws governing electronic transactions and trust services.
18. Personal Belongings
Members are responsible for their own belongings. Entropy shall not be liable for loss, theft, or damage except to the extent such liability cannot lawfully be excluded.
19. Complaints
Members may submit complaints or policy-related requests to info@entropyjiujitsu.com or through Entropy's official front-desk and management channels. Entropy will review complaints in good faith and aim to resolve them fairly and promptly.
20. Amendments
Entropy may update these Terms and Conditions and Cancellation Policy from time to time to reflect operational, legal, or regulatory changes. The latest version shall apply from its stated effective date, except where the law requires a different approach.
21. Governing Law and Jurisdiction
This document shall be governed by the laws of the United Arab Emirates and the applicable laws and regulations of the Emirate of Dubai. Any dispute shall be subject to the competent courts or authorities of Dubai, unless mandatory law requires otherwise.
